AMD AM2 X2 BE-2350 45w CPU?

Any of you guys running this dual core 2.1GHz processor? Curious to know whether it will run OK passively cooled? I don't plan to over-clock the CPU in my HTPC. No need as I have a dedicated gaming PC for tinkering with overclocking (E6420 @ 3.55GHz stable).
